Introduction

Welcome to Billy, a service provided by Rightstuff Innovations GmbH. These Terms of Service govern your use of our web application and services.

By accessing or using Billy, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

Acceptance of Terms

By creating an account and using Billy, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. We reserve the right to update these terms at any time, and your continued use of Billy constitutes acceptance of those changes.

Business Customers Only (B2B)

Billy is offered exclusively to entrepreneurs within the meaning of §1 of the Austrian Commercial Code (UGB) and §14 of the German Civil Code (BGB) who use the service for their business or self-employed professional activity. We do not sell to consumers. By ordering, you confirm that you are acting as a business.

As the service is not offered to consumers, statutory consumer withdrawal rights do not apply.

Description of Services

Billy provides the following services to users:

• Creation and management of business documents such as invoices, quotes, and price lists.
• Client management and organization.
• Tracking of payments and financial data.
• Business analytics and reporting tools.

User Accounts

You are responsible for safeguarding the password that you use to access Billy and for any activities or actions under your account. We encourage you to use strong passwords and to log out of your account at the end of each session.

You agree not to share your account credentials with any third party. Rightstuff Innovations GmbH cannot and will not be liable for any loss or damage arising from your failure to comply with this instruction.

User Content

Our service allows you to post, link, store, share and otherwise make available certain information, text, graphics, or other material. You are responsible for the data you upload to Billy.

By posting content to Billy, you grant us the right to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the service.

Subscription, Prices and Payment

Billy is offered as a subscription (monthly or yearly billing). The prices shown on our pricing page at the time of ordering apply; all prices are net and exclude statutory VAT where applicable. Payments are processed by our payment provider Stripe; we do not store complete payment details.

New subscriptions start with a 7-day free trial that begins when a payment method is added. If you cancel before the trial ends, nothing is charged; otherwise the selected billing period starts automatically. The subscription renews for the selected period unless cancelled via the billing portal before the period ends. Cancellation takes effect at the end of the current billing period.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease. Grounds for termination include:

• Violation of these Terms of Service.
• Failure to pay subscription fees.
• Upon request by law enforcement or other government agencies.
• Extended period of inactivity.

Limitation of Liability

In no event shall Rightstuff Innovations GmbH, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.

Rightstuff Innovations GmbH does not warrant that the service will be uninterrupted, timely, secure, or error-free.

Disclaimer of Warranty

Your use of the service is at your sole risk. The service is provided on an 'AS IS' and 'AS AVAILABLE' basis. The service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of changes by posting the updated terms on this page and updating the 'last updated' date. Your continued use of the service after any such changes constitutes your acceptance of the new Terms.

Governing Law and Jurisdiction

These Terms are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods and conflict-of-law rules. The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the competent court at the registered seat of Rightstuff Innovations GmbH.

Dispute Resolution

We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board. Our offer is directed exclusively at businesses.
